General Terms and Conditions (GTC)

1. Scope
These GTC apply to all contracts between Dennis Meding (“Contractor”) and their clients, unless otherwise agreed in writing.

2. Services
The contractor provides services in the areas of PLC programming, commissioning, and training. The exact scope of services is specified in the offer or contract.

3.1 Remuneration
Billing is done either on the basis of an hourly rate or a fixed price, as agreed. All prices are exclusive of statutory VAT (if applicable). Invoices are due without deduction 14 days after invoicing. 14 days after invoicing due without deduction.

3.2 Travel Expenses
Any travel expenses (transportation, accommodation, and incidental costs) will be charged in addition to the agreed remuneration.

4. Usage Rights
The client receives the unlimited right in terms of time and place to use the created software and documentation. Transfer to third parties is permitted.

5. Liability
The contractor is only liable for damages caused by intentional or grossly negligent breaches of duty. Liability for consequential damages, lost profits, or production downtime is excluded, as far as legally permissible.

6. Project Changes
Changes or extensions to the agreed scope of services require prior agreement. Any additional costs incurred will be offered and charged separately.

7. Jurisdiction
The place of jurisdiction for all disputes arising from the contractual relationship is the contractor’s place of residence, provided the client is a merchant or does not have a general place of jurisdiction in Germany.

8. Final Provisions
Should individual provisions of these GTC be invalid, the validity of the remaining provisions shall remain unaffected.
