1. Scope

These terms apply to all contracts between Dennis Meding (“contractor”) and his customers unless otherwise agreed in writing.

2. Services

The contractor provides technical services in the field of industrial automation. These may include, in particular, PLC programming, robot programming, HMI visualization, interfaces and communication, commissioning, retrofit analysis and programming, electrical planning, drive technology, documentation, training and support for prototypes and projects. The exact scope of services is defined in the respective offer or contract.

3.1 Remuneration

Billing is carried out as agreed, either on an hourly basis or at a fixed price. All prices are plus statutory VAT where applicable. Invoices are due without deduction 14 days after invoicing.

3.2 Travel Costs

Travel costs, accommodation costs and incidental expenses incurred will be charged in addition to the agreed remuneration.

4. Rights of Use

The customer receives the right to use the created software and documentation without time or geographic limitation. Transfer to third parties is permitted.

5. Liability

The contractor is liable only for damages resulting from intentional or grossly negligent breach of duty. Liability for consequential damages, lost profits or production downtime is excluded to the extent legally permissible.

6. Project Changes

Changes or extensions to the agreed scope of services require prior coordination. Any additional costs will be offered and charged separately.

7. Place of Jurisdiction

The place of jurisdiction for all disputes arising from the contractual relationship is the contractor's place of residence, provided the customer is a merchant or has no general place of jurisdiction in Germany.

8. Final Provisions

If individual provisions of these terms are invalid, the validity of the remaining provisions remains unaffected.
